1. Acceptance of Terms {#acceptance}

By downloading, installing, or using the HelAI mobile application ("App") or visiting the website helai.app ("Website"), and by creating an account, you ("User", "you", "your") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you do not agree to these Terms, do not use the Service.

These Terms form a legally binding agreement between you and Konstantin Yeftifeyev, operating as HelAI ("we", "us", "our", "HelAI"). "Service" refers collectively to the App, the Website, and all features and content provided through them.

3. Description of the Service {#description}

HelAI is a mobile fitness coaching application that uses artificial intelligence and your device's camera to:

• Analyze your exercise form in real time using on-device pose detection
• Count repetitions automatically
• Provide form correction feedback during workouts
• Allow you to track and log workout sessions, sets, and repetitions
• Display your personal records and fitness progress
• Generate and manage workout programs
• Set and track fitness goals
• Integrate with Apple Health (iOS) and Google Health Connect (Android) to display health and recovery metrics
• Optionally connect to Garmin smartwatches for enhanced tracking

The Service is provided "as is" for personal, non-commercial fitness and wellness purposes.

4. Eligibility and Age Requirements {#eligibility}

4.1 Minimum Age

The Service is intended for individuals who are at least 16 years of age. By using the Service, you represent and warrant that you meet this requirement.

In certain jurisdictions, a higher minimum age applies:

No person under 13 years of age may use the Service under any circumstances, regardless of jurisdiction or parental consent.

4.2 Parental Consent

If you are a minor who meets the minimum age requirements for your jurisdiction, you may use the Service only with the consent and supervision of a parent or legal guardian. The parent or guardian who provides consent accepts these Terms on the minor's behalf and assumes responsibility for the minor's use of the Service.

4.3 Capacity

By using the Service, you represent that you have the legal capacity to enter into this agreement in your jurisdiction.

5. Account Registration and Security {#account}

5.1 Registration

To access the full features of the Service, you must create an account using a valid email address or a supported third-party authentication provider (currently Google Sign-In and Apple Sign-In). You agree to:

• Provide accurate, current, and complete registration information
• Maintain and promptly update your account information to keep it accurate
• Keep your authentication credentials confidential
• Not share your account with any other person

5.2 Account Security

You are solely responsible for all activity that occurs under your account. If you suspect unauthorized access to your account, you must notify us immediately at [email protected].

We are not liable for any loss or damage arising from your failure to maintain account security, provided that we have fulfilled our security obligations described in the Privacy Policy.

5.3 One Account Per Person

You may not create multiple accounts for yourself. Each person may maintain only one account. We reserve the right to merge or close duplicate accounts.

6. Health, Safety, and Medical Disclaimer {#health-disclaimer}

Please read this section carefully. It contains important limitations regarding the nature of this Service.

6.1 Not a Medical Device

HelAI is not a medical device and has not been approved or cleared by any regulatory body (including the U.S. Food and Drug Administration, the European Medicines Agency, or equivalent bodies in other jurisdictions) as a medical device. It is not designed, manufactured, or marketed for use in the diagnosis, cure, mitigation, treatment, or prevention of any disease or medical condition.

6.2 Not Medical Advice

The information, guidance, feedback, and content provided by the Service — including AI form analysis, rep counting, readiness scores, and program recommendations — constitute general fitness information only and do not constitute medical advice, diagnosis, treatment, or a prescription of any kind.

The Service is not a substitute for:

• Professional medical evaluation or diagnosis
• Advice from a licensed physician, physiotherapist, or other healthcare provider
• Professional coaching or personal training from a certified fitness instructor

6.3 Consult a Healthcare Professional

Before starting any exercise program, significantly changing your physical activity level, or using the AI coaching features of the Service, you should consult with a qualified healthcare provider, particularly if you:

• Have or suspect you have any medical condition, injury, or illness
• Are recovering from surgery or injury
• Are pregnant or postpartum
• Have cardiovascular, respiratory, orthopedic, or metabolic health conditions
• Are taking medication that may be affected by exercise
• Have not been physically active for an extended period

6.4 AI Feedback Limitations

The AI pose detection and form feedback feature has inherent limitations:

• It operates based on visual analysis from a single camera angle
• It cannot assess internal factors such as muscle fatigue, joint stress, or pain
• It may not detect all form errors under all conditions (lighting, clothing, angle)
• It may produce incorrect assessments in some situations
• It is a supplementary tool, not a replacement for professional coaching

Do not ignore pain or discomfort during exercise. If you experience pain, dizziness, shortness of breath, chest pain, or other symptoms of distress during exercise, stop immediately and seek medical attention.

6.5 Assumption of Risk

You acknowledge that physical exercise involves inherent risks, including but not limited to:

• Muscle soreness, strain, or injury
• Cardiovascular events
• Falls or accidents
• Aggravation of pre-existing conditions

By using the Service, you voluntarily assume these risks and agree that HelAI and its operator are not responsible for any injury, illness, or other harm that may result from your use of the Service or your participation in physical exercise.

6.6 Health Data Display

Health data displayed in the app (sleep, heart rate, steps, weight, etc.) is read from Apple Health or Google Health Connect for informational purposes only. This data is not medically validated and should not be used for clinical decision-making.

7. Permitted and Prohibited Use {#permitted-use}

7.1 Permitted Use

You may use the Service for:

• Personal, non-commercial fitness tracking and coaching
• Logging your own workout sessions and tracking personal progress
• Using the AI camera feature to receive form feedback on your own exercise performance
• Creating and managing your personal workout programs and goals
• Connecting your own Garmin smartwatch or health platform for integrated tracking

7.2 Prohibited Use

You may not use the Service to:

• Reverse engineer the App, decompile or disassemble its source code, or attempt to derive the underlying algorithms, including the AI models
• Scrape, crawl, or extract data from the Service using automated tools
• Impersonate another user or any person
• Access the Service using unauthorized means, including bots, scrapers, or scripts
• Interfere with or disrupt the Service or its underlying infrastructure
• Transmit any malware, viruses, or other harmful code
• Use the Service for any commercial purpose without our prior written consent
• Use the AI coaching feature as a basis for professional medical, physiotherapy, or clinical advice to others
• Violate any applicable local, national, or international law or regulation

We reserve the right to suspend or terminate accounts that violate these prohibitions.

8. AI Features and Limitations {#ai-features}

8.1 On-Device Processing

The AI pose estimation feature operates entirely on your device. No camera frames, video, or pose data are transmitted to our servers or to any third party. The machine learning model is downloaded to your device and runs locally.

8.2 No Warranty of Accuracy

We make no warranty that the AI form analysis, rep counting, or exercise identification features will be accurate under all conditions. Performance may vary based on:

• Lighting conditions
• Camera angle and distance
• Clothing worn
• Device processing capabilities
• The specific exercise being performed

8.3 Continuous Improvement

We may update the AI models periodically to improve accuracy. Model updates are delivered as app updates and do not involve transmission of your data.

9. Intellectual Property {#intellectual-property}

9.1 Our Rights

The Service, including the App, Website, AI models, exercise database, program templates, design, software, trademarks, logos, and all other content, is owned by or licensed to HelAI and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the App on your personal device(s) for personal, non-commercial purposes in accordance with these Terms.

This license does not grant you the right to:

• Copy, modify, or distribute the App or any part of it
• Create derivative works based on the Service
• Use our trademarks without our express written consent

9.2 Your Rights in Your Data

You retain all rights to the personal data you enter into the Service (workout logs, goals, notes). By using the Service, you grant us a limited license to store, process, and display this data solely for the purpose of providing the Service to you. We do not claim ownership of your personal data.

10. User-Generated Content {#user-content}

If you provide content to the Service (such as custom exercise names, workout names, or notes), you:

• Retain ownership of such content
• Grant HelAI a non-exclusive, royalty-free license to store and display that content to you within the Service
• Represent that you have the right to provide such content and that it does not infringe any third-party rights or violate any law

We do not share or publish your personal content. User data (workout logs, notes) is private by default and visible only to you.

11. Privacy {#privacy}

Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

12. Subscriptions and Payments (Future) {#subscriptions}

The Service is currently provided free of charge. We plan to introduce optional paid features in the future (including cloud backup and synchronization of workout data). When paid features are introduced:

• Pricing will be clearly disclosed before any purchase
• Subscriptions will be managed through the applicable app store (Apple App Store or Google Play Store) or our website
• Refunds will be governed by the applicable app store's refund policy
• These Terms will be updated to reflect payment terms before paid features launch

13. Third-Party Services and Integrations {#third-party}

13.1 Apple Health and Google Health Connect

The Service integrates with Apple Health (iOS) and Google Health Connect (Android) to read health metrics. Your use of these platform services is governed by Apple's and Google's own terms and privacy policies. We are not responsible for the practices of Apple or Google.

13.2 Garmin Connect IQ

If you pair a Garmin smartwatch, your use of the Garmin Connect IQ ecosystem is governed by Garmin's terms and privacy policy. HelAI communicates with your Garmin device over Bluetooth Low Energy only.

13.3 Google Firebase

The Service uses Google Firebase for authentication, data storage, analytics, and crash reporting. Your use of the Service involves processing of certain data by Google pursuant to Google's terms and privacy policy. See our Privacy Policy for details.

13.4 No Endorsement

We do not endorse and are not responsible for the content or practices of any third-party services referenced in or accessible through the Service.

14. Availability and Modifications {#availability}

14.1 Service Availability

We make no guarantee that the Service will be available at all times or without interruption. The Service may be unavailable due to:

• Scheduled maintenance
• Unplanned outages
• Force majeure events (natural disasters, internet infrastructure failures, government actions, etc.)

14.2 Modifications

We reserve the right to:

• Modify, suspend, or discontinue any feature or portion of the Service at any time
• Add new features, which may be subject to additional terms
• Change these Terms (see Section 20)

We will provide reasonable advance notice of material changes where practicable.

15. Limitation of Liability {#liability}

To the fullest extent permitted by applicable law:

15.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

• THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED
• ANY DEFECTS WILL BE CORRECTED
• THE AI FEEDBACK WILL BE ACCURATE OR APPROPRIATE FOR YOUR SPECIFIC CIRCUMSTANCES
• THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

15.2 Limitation of Damages

IN NO EVENT SHALL HELAI OR KONSTANTIN YEFTIFEYEV BE LIABLE FOR ANY:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES
• PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF THE SERVICE
• DAMAGES ARISING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT

15.3 Maximum Liability

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF:

• THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR
• USD $10 (TEN US DOLLARS)

15.4 Exceptions

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain types of damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law. Nothing in these Terms excludes liability that cannot be excluded by law (such as death or personal injury caused by our negligence, or fraudulent misrepresentation).

16. Indemnification {#indemnification}

You agree to indemnify, defend, and hold harmless HelAI and Konstantin Yeftifeyev from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service in an unauthorized manner
• Your violation of any third party's rights
• Any content you submit or provide through the Service

17. Dispute Resolution {#disputes}

17.1 Good-Faith Negotiation

We encourage you to contact us at [email protected] before initiating any formal legal proceedings. We commit to engaging in good-faith efforts to resolve disputes informally within 30 days of receiving notice.

17.2 Arbitration (Where Applicable)

In jurisdictions where arbitration is enforceable and permitted, disputes that cannot be resolved informally may be submitted to binding arbitration in accordance with the applicable arbitration rules. The seat of arbitration will be the Republic of Kazakhstan unless otherwise required by applicable law.

17.3 Consumer Rights

Nothing in these Terms limits your rights as a consumer under the mandatory consumer protection laws of your country. If you are a consumer in a jurisdiction that grants you the right to bring disputes before local courts or regulatory bodies, these Terms do not restrict that right.

17.4 No Class Action

To the extent permitted by law, you agree that disputes will be resolved on an individual basis and that you waive your right to participate in class-action lawsuits or class-wide arbitration. This provision is not applicable where prohibited by law.

18. Governing Law {#governing-law}

These Terms are governed by and construed in accordance with the laws of the Republic of Kazakhstan, without regard to its conflict of law principles.

For users in the European Union, United Kingdom, or other jurisdictions where local law grants you mandatory consumer protections, those protections apply notwithstanding this choice of law.

For disputes brought by EU consumers, you may also use the European Commission's Online Dispute Resolution platform at ec.europa.eu/odr.

19. Severability and Entire Agreement {#severability}

If any provision of these Terms is found to be invalid, illegal, or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or severed from these Terms, and the remaining provisions will continue in full force and effect.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and HelAI with respect to the Service and supersede all prior agreements, communications, or understandings.

20. Changes to These Terms {#changes}

We may update these Terms from time to time. When we make material changes, we will:

• Display a notice in the App on your next launch
• Update the "Last Updated" date at the top of this document

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of the Service and delete your account.

We will not apply material changes retroactively to your account without your explicit consent.
